11.裝運(yùn)通知：一俟裝運(yùn)完畢，賣(mài)方應(yīng)即電告買(mǎi)方合同號(hào)、品名，已裝載數(shù)量、發(fā)票總金額，毛重，運(yùn)輸工具名稱(chēng)及啟運(yùn)日期等

12.檢驗(yàn)與索賠
inspection and claims:

13.人力不可抗拒：如果人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。
force majeure: the sellers shall not hold any responsibility for partial or total non-performance of this contractdue to force majeure. but
the sellers shall advise the buyers on time of such occurrence.
14.爭(zhēng)議之解決方式：
disputes settlement:
任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)。仲裁裁決是終局的，對(duì)雙方均有約束力。

15.法律適用：
law application:
本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約》。
it will be governed by the law of the peoples republic of china under the circumstances that the contract is signed or the goods while the disputes arising are in the peoples republic of china or the deffendant is chinese legal person, otherwise it is governed by united nations convention on contract for the international sale of goods.
本合同使用的fob、cfr、cif、ddu術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《incoterms 1990》。

買(mǎi)方未在規(guī)定的時(shí)間內(nèi)開(kāi)出信用證，賣(mài)方有權(quán)發(fā)出通知取消本合同，或接受 買(mǎi)方對(duì)本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。
The Buyer shall establish a Letter of Credit before the above-stipulated time， failing which， the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole or part of this Contract non fulfilled by the Buyer， or to lodge a claim for the direct losses sustained， if any.

In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.
11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品 延誤交貨，賣(mài)方概不負(fù)責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不 能克服的客觀情況。 The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.
12. 仲裁(Arbitration)：
因凡本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，如果協(xié)商不能解決，應(yīng)提 交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)。按照申請(qǐng)仲裁時(shí)該會(huì)當(dāng)時(shí)施行的仲裁 規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。
Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
13. 通知(Notices)：
所有通知用___文寫(xiě)成，并按照如下地址用傳真/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后___日內(nèi)書(shū)面通知另一方。

?、诩追接谪浳镅b船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知乙方。第十二條品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，乙方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險(xiǎn)公司及/或船公司的責(zé)任外，乙方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向甲方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。甲方應(yīng)于收到異議后30天內(nèi)答復(fù)乙方。
第十三條人力不可抗拒因素：由于人力不可抗拒事故，是甲方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貨的，甲方不負(fù)責(zé)任。但甲方必須立即以電報(bào)通知乙方。如乙方提出要求，甲方應(yīng)以掛號(hào)函向乙方提供由中國(guó)國(guó)際貿(mào)易委員會(huì)或有關(guān)機(jī)構(gòu)出具的事故證明文件。第十四條仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)家仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等的約束力，仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有約定外，均由敗訴一方負(fù)擔(dān)。
