　　本協(xié)議于____年____月_____日在中國××簽訂。簽約一方：________公司，主營業(yè)所在××(以下稱承租人);簽約另一方：________公司，住營業(yè)所在××(以下稱出租人)。根據(jù)本協(xié)議，按下列條件，出租人想承租人出租，承租人從出租人租賃下述商品。

　　This Agreement is entered into and concluded on the date of in_____,China,betoeen_____,Co.with________,China(hereinafter called the Leasee)and________Co.with its principal office at________(hereinafter called the Leasor).Hereby,the Leasor leases to the Leasee and the Leasee hires from the Lessor the commodity described hereunder in accordance with the terms and conditions set forth below:

　　6.付款：Payment:

　　承租人付給出租人的全部租金分兩次支付，每一次于貨到目的港日算起6個月后支付;第二次于貨到目的港日算起12個月后支付。全部租金以美元支付，電匯出租人××銀行或出租人臨時指定的銀行。交貨后，無論承租人是否使用了商品，包括因不可抗力事故，均須按上述條件向出租人支付租金。

　　The total rent shall be paid in two installments,of which,one shall be paid by the Leasor to the Leasor after six months from the date lf the arrival of the　commodity at the port of destination,and the other shall be paid by the Leasee to the leasor after be paid by the Leasee to the lessor after twelve monthsfrom the date of the commodity arriving at the port of destination.Each payment is to be made in US dollar by T/T to Leasor may designate.After the commodity is delivered the Leasee shall pay the Leasor the full amornt of rent in accordance with the aforesaid terms and conditions,no matter whether or not the Leasee actually uses the commodity for any reason including force majeure accidents.

　　7.所有權：Ownership:

　　在出租人把合同商品轉讓給承租人以前，其所有權屬于出租人。

　　The ownership of the commodity belongs to the Leasor,before he transfers it to the Leasee.

　　8.處理：Disposal:

　　本租賃協(xié)議期滿時，只要承租人付清全部租金，便有權以每臺××美元購買合同商品。承租人付清貸款，貨物便歸承租人所有。

　　Upon the expiration of the lease agreement,provided that there is no defarlt on the Leasee's sede,the Leasee shall be entitled to purchase the commodity from he Leasor at US________each.When the Leasee has paid the price thereof,the commodity shall belong to the Leasee.

　　9.仲裁：Arbitration:

　　有關本協(xié)議的一切爭議應友好協(xié)商解決。雙方約定，若達不成協(xié)議，爭議案則提交仲裁。若出租人是原告，仲裁在中國進行;若承租人是原告，仲裁在××進行。仲裁的裁決是終局，對雙方均具有約束力。

　　Any dispute arising from this agreement shall be settled amicably through consultations between the two parties hereto.They agree that if no settlement can be reached,the case in dispute shall be submitted to arbitration,Incase the Leasor is the plaintiff,the arbitration shall take place in________,China;in case the Leasee is the plaintiff,the arbitration shall be conducted in________.The award of the arbitration shall be final and binding upon both parties.

　　10.稅費：Taxes:

　　出租人在中國的全部收入須依中華人民共和國的法律納稅。

　　Allearnings made in China by the Leasee shall be subject to taxation in accordance with the laws of the People's Republic of China.

　　11.使用商品權：Right of Using the Commodity:

　　除了承租人以外，任何人不經出租人書面同意，不得使用該商品。

　　Nobody except the Leasee may use the commodity,but the Leasee shall not allow any other person to use the commodity withort the Leasor's prior written consent.

　　12.保證： Guarantee:

　　承租人在簽約后，但必須在裝運期一個月前，向出租人提交××中國銀行出具的以出租人為受益人的保證函，作為承租人履行本協(xié)議全部義務的保證金。

　　The Leasee shall furnish the Leasor,on/after the signing of this agreement but not later than one month prior to the date of the shipment of the commodity stated herein,with a letter of guarantee issued by Bank of China, ________in favour of the Leasor as the secruity of full execution of the Leasee's obligations under this agreement.

　　13.延期付款的罰金：Default Interest:

　　若承租人未按期付款，則必須向出租人交納延期款項的罰金，年率為×%，時間從付款到期日計算至實際付款日期。

　　In case the Leasee is in default of any payment herein,the Leasee shall pay the Leasor a default interest on the amount delayed at the rate of ________% per annum as from the date when the payment is due to the date of actual payment.

　　14.維修：Maintenance:

　　承租人必須自負費用維持商品的良好狀況;但是出租人必須對商品的故障負責，承租人有權想出租人提出賠償因此所遭受的損失。

　　The Leasee shall keep the commodity in good condition at his expense,but the Leasor shall be responsiboe for the breakdown of the commodity and the Leasee may lodge claims against the Leasor for anlosses occurred therein.

　　15.有效期限：Duration:

　　本協(xié)議的有效期是一年，自商品抵達目的港日計算。

　　The duration of this agreement is one year commencing from the date of the commodity's arrival at the port of destination.

　　16.適用法律： Governing Law:

　　本協(xié)議的簽訂、解釋和履行受中華人民共和國法律制約。茲證明，雙方在以上開首語中書明的日期簽署蓋章。本協(xié)議以英文書寫，一式兩份，每放各執(zhí)一份。

　　附：國際租賃合同解釋與分析

　　(一)概述

　　國際租賃是指不同國家的出租人與承租人之間在約定的期間內，出租人將其特別交給承租人有償使用的一種合同關系?，F(xiàn)代國際租賃業(yè)務主要有三種類型：即融資性租賃、綜合性租賃和服務性租賃。融資性租賃是出租人根據(jù)承租人的要求，自己出資或者向銀行貸款，從供貨廠商那里購負承租人社頂?shù)脑O備，然后將購入的設備出租給承租人使用，承租人按合同規(guī)定交付租金。融資租賃具有融資融物的雙重功能，主要在租專用設備或大型成套設備時采用，這種方式在國際租賃業(yè)務經常被使用，這種租賃方式根據(jù)不同業(yè)務特點又可分為直接租賃、轉租賃、回租租賃等。綜合性租賃是一種把租賃與補償貿易、加工裝配等其他對經濟合作方式結合起來的租賃業(yè)務。而服務性租賃亦稱經營性租賃，租賃公司既向承租企業(yè)提供資金、設備;又向承租企業(yè)提供設備維修、保養(yǎng)服務以至提供或培訓有關技術人員。這種租賃形式由于租賃公司要提供多種服務，所以其租金也較高。

　　國際租賃的法律文件形式是國際租賃協(xié)議，而由于租賃方式不同，租賃協(xié)議的內容也不統(tǒng)一。即使是同一種租賃形式，只要雙方同意，也可以規(guī)定各不相同的條款，因此使用本書的人不必拘泥于本書所提供的格式范本。

　　(二)租賃設備

　　該條款應對租賃設備作出詳細的說明，列出租賃物的名稱、規(guī)格、數(shù)量、質量、性能和交付日期，說明是否由出租人或制造商負責交付。在融資租賃的情況下還需說明此項租賃物是出租人根據(jù)承租人的要求出資購買后租給承租人使用的，同時出租人據(jù)此可規(guī)定其只承擔融資責任。

　　(三)租賃期

　　協(xié)議中應明確規(guī)定租賃期限、租賃期的起算日、截止日、延續(xù)合同的條件等。租賃期的長短主要是由雙方根據(jù)租賃物的情況和承租人的需要在簽訂協(xié)議時間商定。一般來說，易損性和效力多變的機器設備租期短，而耐用，性能變化不大的設備租期長。

　　(四)租金及支付方式

　　租金是租賃合同的主要呢容，也是雙方當事人的主要權利，義務所在。租金條款應明確租金的數(shù)額、計算方法、支付地點、使用貨幣、租金支付次數(shù)以及第一次租金支付的時間、方式等。

　　在計算租金是4要考慮到租金的構成要素、租期長短、結算幣種、支付方式等因素，由雙方當時人本著公平合理的原則協(xié)商確定。對于租金支付的方式，一般包括支付租金的次數(shù)、前期支付或期后支付、固定或不固定費率等，這都需要雙方在協(xié)議中協(xié)商訂明。

　　(五)租賃設備的所有權、使用、維修、保管

　　在國際租賃協(xié)議中，一般都要訂明在租期內設備的所有權屬于出租人，不經出租人同意，承租人不得將設備轉讓、抵押、出售或出租等，而承租人對租賃設備具有完全的使用權，如需對此種使用權加以限制，則由雙方協(xié)商訂明。至于租賃設備的維修、保養(yǎng)，應由雙方根據(jù)租賃方式，租賃物的性質經協(xié)商后訂入?yún)f(xié)議。

　　(六)風險承擔

　　一般來說，在租賃協(xié)議期間租賃物發(fā)生意外滅失損毀是不可避免的，因此協(xié)議中應明確由誰承擔此損失。一般情況下，租賃物正常損耗的損失風險由承租人承擔。發(fā)生意外損毀滅失時，承租人有湖族人的義務，出租人可選擇一定方式由承租人負責處理并負擔一切費用。

　　有風險就必然要求有保險，協(xié)議中應約定由哪一放對和租賃設備進行投保及此費用由誰承擔。

　　(七)租賃期滿租賃物的處理

　　這一條款隨租賃方式不同而不同，如是服務性租賃，協(xié)議中多是規(guī)定租賃期滿后承租人應將處于良好狀態(tài)下的租賃物歸還給出租人。如是融資性租賃，雙方則可選擇處理方式，其中有：將租賃物歸還出租人(即退租)，續(xù)租、由承租人購買租賃物(即留購)，火由承租人代為出售等，在我國現(xiàn)行的融籽租賃中，大多數(shù)出租人是在期滿時交清應交租金及其他應付款項后，只付名義貨價即取得設備所有權。
